Section 01

Acceptance of Terms

By accessing our website, completing our intake form, or using any services offered by Fidential Technologies Consulting ("Fidential," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service.

If you are using our services on behalf of a business, you represent and warrant that you have the authority to bind that business to these terms.

We reserve the right to update these Terms at any time. We will notify you of material changes via email. Continued use of our services after notification constitutes acceptance of the revised Terms.

Section 02

Services Description

Fidential Technologies Consulting provides dedicated business assistant services to small and medium-sized businesses in Toronto and across Canada. Our services include, but are not limited to:

• Professional website design, setup, and ongoing management
• Online booking system configuration and maintenance
• Social media content creation and posting
• Phone answering and call management coordination
• Google Business Profile optimization and management
• Email and client communications support
• Additional services as outlined in your service plan or à la carte agreement

All services are delivered remotely. Specific services included in your plan will be confirmed during onboarding. We reserve the right to modify, add, or remove specific service offerings with reasonable notice to active clients.

Section 03

Payment Terms

Our services operate on a prepaid monthly subscription basis. Payment is due at the beginning of each billing cycle.

• All prices are listed in Canadian dollars (CAD) and are subject to applicable taxes
• Your billing date is set on the day you first subscribe and recurs monthly on that same date
• Payment is processed automatically via our secure payment processor
• If a payment fails, we will notify you and provide a 5-business-day grace period to resolve the issue before service is paused
• No refunds are issued for partial months already delivered
• À la carte service fees are invoiced separately and due within 14 days of invoice

We reserve the right to adjust pricing with a minimum of 30 days' written notice to active clients. Price changes take effect on your next billing cycle following the notice period.

Section 04

Cancellation Policy

We believe in flexibility. There are no lock-in contracts and no cancellation fees.

• You may cancel your subscription at any time by notifying us through our contact form
• Cancellations take effect at the end of your current billing period — you retain full access to your services until that date
• We do not provide prorated refunds for the remaining days in a billing period
• You may pause your service for up to one full billing cycle per calendar year by contacting us at least 5 business days before your next billing date
• If you cancel, any accounts, logins, or digital assets we created specifically for your business will be transferred or handed off to you within 10 business days upon request

We reserve the right to terminate service with immediate effect if a client engages in abusive, fraudulent, or illegal activity. In such cases, no refund will be issued for the current billing period.

Section 05

Intellectual Property

Upon full payment of all fees owed, you own the deliverables we create specifically for your business — including your website design, written content, graphics, and social media posts created on your behalf.

• You grant Fidential a non-exclusive licence to use your business name, logo, and brand materials solely to deliver your contracted services
• Fidential retains ownership of its proprietary systems, templates, methodologies, and tools used in the delivery of services — these are not transferred to you
• Third-party software, platforms, and stock assets used in your project are subject to their respective licences
• You represent that any brand materials, content, or assets you provide to us do not infringe any third-party intellectual property rights

Fidential may reference your business name in its portfolio or case studies unless you request otherwise in writing. We will never disclose confidential business information as part of any portfolio use.

Section 06

Limitation of Liability

Fidential Technologies Consulting provides services on a best-efforts basis and is committed to delivering high-quality work. However, the following limitations apply:

• We do not guarantee specific business outcomes, revenue increases, lead generation results, or search engine rankings
• We are not liable for disruptions caused by third-party platforms, hosting providers, or services outside our control
• Our total liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages of any kind

Our services are provided "as is" to the extent permitted by law. We make no warranties beyond those expressly stated in these Terms.

Section 07

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

• Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada
• Both parties agree to attempt resolution through good-faith negotiation before initiating any formal legal proceedings
• If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect
• These Terms constitute the entire agreement between you and Fidential regarding the subject matter herein, superseding any prior agreements or understandings
